These Terms of Sale ("Terms") are a binding agreement between you and COMPANY FMW LLC ("Steady Pets", "we", "us", or "our"), and they govern your purchase of products from steady-pets.com (the "Site"). By clicking "Agree and Pay Now" (or any similar button) and placing an order, you agree to these Terms, including the binding arbitration provision and class action waiver in Section 12. If you do not agree, do not place an order.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to buy from us. You agree that the information you provide at checkout is accurate and complete.

3. Products and pricing

We describe our products as accurately as we can. Prices, promotions, and availability may change at any time. All prices are shown in US dollars and do not include taxes or shipping unless stated. Any reference or "compare at" price shown is a good-faith reference point, not a representation that the product was previously sold at that price for any particular period.

4. Orders and payment authorization

Your order is an offer to buy. We may accept or decline it, and we may cancel and refund an order if a product is unavailable, if we suspect fraud, or if there was an error in pricing or product information. You authorize us and our payment processor to charge the payment method you provide at checkout for your order, and, if you subscribe, for each recurring order as described in Section 5.

5. Subscriptions and automatic renewal (please read carefully)

If you select a "Subscribe & Save" or subscription option at checkout, you are enrolling in an automatic renewal program. The material terms are:

  • Automatic recurring billing. Your subscription continues and we will automatically charge the payment method you provided at checkout on a recurring basis, until you cancel. We do not need to ask you again before each charge.
  • Amount and frequency. You will be charged the subscription price shown at checkout for your selected plan, on the delivery frequency you selected (for example every 30, 60, or 90 days). Current subscription prices are $29.99, $44.99, or $59.99 per delivery, depending on the plan, and are always shown at checkout before you pay.
  • What ships and when. Each recurring delivery contains the refills for your plan. Your first order ships free. Each recurring refill delivery is charged standard shipping of a flat $4.95.
  • First-box gift, where applicable. Where an offer states that a diffuser is included with your first subscription box, that item is included with your first delivery only and is yours to keep.
  • No fixed term. There is no minimum commitment. Your subscription renews on your chosen frequency until you cancel.
  • How to cancel (this is easy and online). You can pause, skip, or cancel at any time, with no phone call or email required, from your account at steady-pets.com/account (the "Manage subscription" link), or using the manage-subscription link in any subscription email we send you. To avoid the next charge, cancel before your next scheduled billing date. Because you signed up online, you can always cancel online.
  • Confirmation and reminders. After you subscribe, we send a confirmation email restating these terms and how to cancel. Before each recurring charge, we send a reminder so you can skip or cancel if you wish.
  • Price changes. If we change your subscription price, we will notify you in advance and give you the chance to cancel before the new price takes effect.

6. Shipping

We currently ship within the United States. Shipping options, costs, and estimated delivery times are described in our Shipping Policy and shown at checkout before you pay.

7. Returns and 30-day money-back guarantee

Our returns, refunds, and 30-day money-back guarantee are described in our Refund and Returns Policy. Please review it, as conditions apply.

8. Product use

Steady Pets is a pheromone calming aid for dogs. It is not a medical device and does not diagnose, treat, cure, or prevent any condition, and it does not replace veterinary care. If your dog's distress is severe, sudden, or not improving, please consult your veterinarian.

9. Intellectual property

All content on the Site, including text, images, logos, and design, belongs to COMPANY FMW LLC or its licensors and may not be used without our permission.

10. Disclaimers

The Site and the products are provided on an "as is" and "as available" basis, without warranties of any kind except those that cannot be excluded under applicable law. Nothing in these Terms limits any non-waivable rights you have under applicable law, including our 30-day money-back guarantee.

11. Limitation of liability

To the maximum extent permitted by law, COMPANY FMW LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or the products. To the maximum extent permitted by law, our total liability for any claim relating to a product or order will not exceed the amount you paid for that order.

12. Dispute resolution, binding arbitration, and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO HAVE A JURY TRIAL, AND REQUIRES INDIVIDUAL ARBITRATION INSTEAD OF CLASS ACTIONS.

  • 12.1 Informal resolution first. Before starting an arbitration, you agree to first contact us at fmwllc@outlook.com and describe your dispute, and to give us 60 days to try to resolve it informally. Most concerns can be resolved this way.
  • 12.2 Agreement to arbitrate. If we cannot resolve a dispute informally, you and Steady Pets agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, a product, an order, a subscription, or our marketing (a "Dispute") will be resolved exclusively by final and binding individual arbitration, and not in court, except as stated in Section 12.6. This agreement is governed by the Federal Arbitration Act.
  • 12.3 Rules and forum. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org. The arbitration will take place in the US county where you live, or by phone or video at your election, so you do not have to travel.
  • 12.4 Fees. For any Dispute, we will pay the arbitration filing and administrative fees to the extent required by the AAA Consumer Arbitration Rules, and we will not seek our attorneys' fees from you unless the arbitrator finds your claim frivolous. This is intended to make arbitration affordable for you.
  • 12.5 Class action waiver and individual basis. You and Steady Pets agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. You and Steady Pets waive any right to a jury trial and any right to participate in a class action.
  • 12.6 Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property.
  • 12.7 Delegation. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that it is void or voidable, except that a court decides the enforceability of the class action waiver in Section 12.5.
  • 12.8 Severability of the class waiver. If the class action waiver in Section 12.5 is found unenforceable as to a particular claim or request for relief, then that claim or request will be severed and heard in court, and the rest of this Section 12 will remain in effect for all other claims.
  • 12.9 Your right to opt out of arbitration. You can opt out of this Section 12 (arbitration and class action waiver) by emailing fmwllc@outlook.com within 30 days of your first order, with your name, the email used on the order, and a clear statement that you want to opt out of arbitration. Opting out will not affect any other part of these Terms. If you opt out, disputes will be resolved in the courts identified in Section 13.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Subject to Section 12, the state and federal courts located in Delaware will have jurisdiction over any dispute not subject to arbitration.

14. Electronic communications

By placing an order and providing your email, you consent to receive transactional communications from us electronically, including order confirmations, subscription confirmations, renewal reminders, and service notices. These are not marketing emails and are part of your purchase. You can receive marketing emails only if you opt in, and you can opt out of marketing at any time.

15. Other policies

Our Shipping Policy, Refund and Returns Policy, and Privacy Policy are part of these Terms and are incorporated by reference. If there is a direct conflict between these Terms and one of those policies about a sale or subscription, these Terms control.

16. General

  • Entire agreement. These Terms, together with the policies incorporated in Section 15, are the entire agreement between you and us about your purchase, and they replace any prior understanding on that subject.
  • Severability. If any provision of these Terms is found unenforceable, the rest stays in effect, and the unenforceable provision is limited or removed to the minimum extent necessary.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Headings. Section headings are for convenience only and do not affect interpretation.

17. Changes to these Terms

We may update these Terms from time to time. The version in effect when you place an order governs that order. The latest version is always posted on this page.
